WHO'S IN CHARGE OF HICKLING BARN?
The trustees are governed by a 'Deed of Amendment' document which sets out the constitution of the charity. It was agreed after building work had been completed and the Barn became operational. The document has been approved by the Charity Commission. It covers all aspects of the governance arrangements, including how trustees are appointed. HICKLING BARN MANAGEMENT COMMITTEE STRUCTURE
This explanation of how the management committee functions was submitted to North Norfolk District Council on April 4, 2012 as part of our licence application.
MEMBERSHIP
Membership of the management committee is shown in the table below and details all the members, which office they hold, whether they are charity trustees, and if they were elected, co-opted or nominated. It also shows the nominating organisations.
The management committee is not formally constituted but was formed to ensure user groups and other interested parties could be engaged in the day-to-day operation of the facility. The trustees have legal responsibility for the charity and are therefore responsible for matters of a more strategic nature or higher importance.
CONSTITUTION
The management committee does not have a constitution per se. The charity is governed by its deed of administration (ie. its constitution) and the trustees meet within the structure set out by this. The management committee was set up by the trustees in order to provide the operational management of the facility. Decisions of the management committee are made by consensus. If an issue was contentious enough to be put “to the vote” it would be passed to the trustees for a decision.
There are, however, certain powers and duties expected of the committee within the bounds of the charity’s objects:
• To raise funds and invite and receive contributions. This could be via the organising and/or running of events, including licensable activities.
• To arrange the provision of services, goods and equipment. This could, for example, be the buying-in of bar services or the provision of temporary staging etc.
• To co-operate and liaise with other organisations who may be helpful in furthering the charity’s objectives. This could range from statutory organisations, such as the Safety Advisory Group for large events; through to user groups and clubs which wish to hold events to raise funds for themselves or the charity.
MEETINGS
The management committee meets fortnightly and all trustees and other members of the committee are invited to attend. This is to ensure that the trustees’ strategic input is always achieved, although not all trustees will always attend. Likewise, not all of the non-trustee members of the committee will always be able to attend but the numbers involved allow for this to not be a problem in terms of effective decision making.
Put simply, the trustees’ presence ensures that the committee works within an overall management framework to ensure the operational success of the facility.
